Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Qurdoka Innovatek ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services

Qurdoka Innovatek provides custom software development, web application development, mobile application development, AI/ML solutions, and cloud infrastructure services. All services are governed by a separate, project-specific Service Agreement, which will supersede these general Terms.

3. Client Responsibilities

The client is responsible for providing timely feedback, content (text, images, data), necessary access to systems, and prompt payment of invoices as outlined in the Service Agreement. Delays caused by the client may result in adjustments to the project timeline.

4. Intellectual Property

Upon final payment for a project, the client shall own 100% of the intellectual property rights, including the source code, custom designs, and documentation, unless otherwise specified in the Service Agreement. Qurdoka Innovatek retains the right to use non-confidential project details for portfolio and marketing purposes.

5. Payment Terms

Payment schedules and terms (e.g., milestone-based, fixed-price, time & material) will be defined in the Service Agreement. Invoices are due within 15 days of issuance. Late payments may incur interest charges.

6. Confidentiality

Both parties agree to keep all non-public information confidential, including but not limited to business plans, technical data, pricing, and client lists, for a period of three (3) years after the termination of services, unless superseded by a separate Non-Disclosure Agreement (NDA).

7. Warranties

We warrant that the custom software developed will perform substantially in accordance with the specifications for a period of 30 days following the final deployment ("Warranty Period"). This warranty is void if the software is modified by any party other than Qurdoka Innovatek.

8. Limitation of Liability

In no event shall Qurdoka Innovatek be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your access to or use of the services. Our total liability for any claim arising from the services shall not exceed the total amount paid by the client to Qurdoka Innovatek for the specific services that are the subject of the claim.

9. Third-Party Services

The services may include or rely on third-party services (e.g., cloud providers, payment gateways, APIs). Qurdoka Innovatek is not responsible for the performance, reliability, or security of such third-party services.

10. Termination

Either party may terminate the Service Agreement with 30 days written notice. In the event of termination by the client, the client agrees to pay for all work completed up to the date of termination. In the event of termination by Qurdoka Innovatek, the client will be refunded for any pre-paid services not yet rendered.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms for causes beyond its reasonable control, including but not limited to acts of God, war, acts of terrorism, floods, fire, labor disputes, or failure of a third-party service provider.

12. Hosting and Maintenance

Unless a separate Hosting and Maintenance Agreement is in place, the Company is not responsible for hosting, maintaining, or supporting the software after the Warranty Period.

13. Security and Data

The client is solely responsible for the security and integrity of all data they provide or upload to the final delivered system. We follow security best practices during development, but the client must ensure compliance with all applicable data protection laws (e.g., GDPR, CCPA) for their own application.

14. Dispute Resolution

Any dispute arising out of or relating to these Terms or any Service Agreement shall be resolved through good-faith negotiation. If a resolution cannot be reached, the dispute shall be submitted to binding arbitration in accordance with the rules of the International Chamber of Commerce (ICC).

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ukraine, without regard to its conflict of law provisions.

16. Non-Solicitation

The client agrees not to directly or indirectly solicit for employment any of Qurdoka Innovatek's employees or contractors who worked on the project during the term of the Service Agreement and for a period of one (1) year thereafter.

17. Waiver

The failure of Qurdoka Innovatek to enforce any right or provision of these Terms will not be considered a waiver of those rights.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with any project-specific agreements, constitute the entire agreement between the parties and supersede all prior agreements and understandings.
